- "AI-Generated Content"
- Content, websites, educational materials, or outputs created by our AI systems based on your User Content and instructions.
- "Sandbox Environment"
- Isolated development environments provided for previewing and testing generated content.
- "Account"
- Your registered user account with authentication credentials used to access the Platform.
3. License to Use Services
Subject to your compliance with these Terms, EduArc grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or commercial educational purposes.
This license does not include:
- Any ownership rights to the Platform, software, or infrastructure
- The right to sublicense or transfer your access to third parties
- Any intellectual property rights to EduArc's proprietary technology
- Access to source code or underlying algorithms
4. User Responsibilities and Restrictions
You are responsible for maintaining the confidentiality of your Account credentials and for all activities conducted through your Account. You agree to:
- Provide accurate and complete information when creating your Account
- Maintain the security of your password and authentication credentials
- Notify us immediately of any unauthorized access or security breach
- Use the Services in compliance with all applicable laws and regulations
- Respect intellectual property rights of others
4.1 Prohibited Uses
You must NOT use the Platform to:
- Generate illegal, harmful, abusive, or offensive content
- Violate any person's privacy, intellectual property, or other rights
- Upload malicious code, viruses, or harmful software
- Attempt to reverse engineer, decompile, or hack the Platform
- Overwhelm our systems with automated tools or excessive requests
- Resell, redistribute, or create derivative services without permission
- Share your Account credentials with unauthorized users
- Misrepresent AI-generated content as human-created without disclosure
- Process sensitive personal data without proper authorization
- Bypass any security measures or usage limitations
5. Billing, Payments, and Subscriptions
EduArc may offer various subscription plans and payment options. By subscribing to a paid plan:
- You agree to pay all applicable fees as described in your chosen plan
- Payments are processed through secure third-party payment providers
- Subscriptions automatically renew unless cancelled before the renewal date
- You are responsible for maintaining valid payment information
- Price changes will be communicated at least 30 days in advance
5.1 Refund Policy
Due to the nature of digital services and AI processing costs, we generally do not offer refunds once services have been rendered. However, we may consider refund requests on a case-by-case basis within 7 days of initial purchase if no significant usage has occurred. Contact our support team to discuss refund eligibility.
6. Data, Privacy, and Security
Your privacy and data security are important to us. Our data practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.
6.1 User Content and Data
- You retain all ownership rights to your User Content
- You grant us a limited license to process your User Content for providing Services
- We do not claim ownership of your User Content or AI-Generated Content
- You are responsible for ensuring you have rights to upload and process all User Content
6.2 Restricted Data Types
You must NOT upload or process:
- Personal health information (PHI) or protected health records
- Financial account numbers, credit card details, or banking information
- Government-issued identification numbers (SSN, passport numbers, etc.)
- Biometric data for identification purposes
- Children's personal information (under 13 years old)
- Any data you are not legally authorized to process
6.3 Data Retention
We retain your data as long as your Account is active. Upon Account deletion, your data will be removed in accordance with our data retention policies, typically within 30 days. Some data may be retained longer for legal compliance, security, or backup purposes.
7. Ownership and Intellectual Property

7.1 EduArc's Property
EduArc owns all rights to:
- The Platform software, infrastructure, and technology
- Our proprietary AI models, algorithms, and processing methods
- EduArc trademarks, logos, and branding
- Platform design, user interface, and documentation
- All improvements and modifications to the Platform
7.2 Your Property
You own all rights to:
- Your original User Content uploaded to the Platform
- AI-Generated Content created through your use of the Services
- Educational websites and materials generated from your projects
- Derivative works you create based on AI-Generated Content
However, you grant EduArc a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and process your User Content solely to provide the Services and improve our AI models.
8. AI-Generated Content and Disclaimers
EduArc uses artificial intelligence to generate educational content. You acknowledge and agree that:
- AI-Generated Content may contain errors, inaccuracies, or inconsistencies
- You are responsible for reviewing and validating all AI-Generated Content
- EduArc does not guarantee accuracy, completeness, or educational quality
- AI outputs should not be used without human review and verification
- You should disclose AI involvement when required by applicable laws or ethical guidelines
- AI models may occasionally produce unexpected or inappropriate outputs
EduArc is not liable for any consequences arising from your use of AI-Generated Content, including educational, professional, or legal consequences.
9. Disclaimers and Limitation of Liability
9.1 Service Disclaimer
THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SECURITY.
EduArc does not warrant that:
- The Services will be uninterrupted, timely, secure, or error-free
- Results obtained from the Services will be accurate or reliable
- Any errors or defects will be corrected
- The Services will meet your specific requirements
- AI-Generated Content will be free from errors or suitable for any purpose
9.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EDUARC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use or inability to use the Services
- Unauthorized access to or alteration of your data
- Errors, inaccuracies, or omissions in AI-Generated Content
- Third-party conduct or content on the Platform
- Any interruption or cessation of the Services
OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO EDUARC IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify, defend, and hold harmless EduArc, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Content or AI-Generated Content
- Any misrepresentation made by you
11. Termination
Either party may terminate this agreement at any time:
11.1 Termination by You
You may terminate your Account at any time through your account settings or by contacting support. Upon termination, you will lose access to all Services and your data will be scheduled for deletion.
11.2 Termination by EduArc
We reserve the right to suspend or terminate your Account and access to Services immediately, without prior notice, if:
- You violate these Terms or our policies
- Your account poses a security or legal risk
- You engage in fraudulent or illegal activities
- Payment for Services fails or is disputed
- We discontinue the Services (with reasonable notice)
11.3 Effects of Termination
Upon termination, all licenses granted to you will immediately cease. You must stop using the Platform and Services. Sections of these Terms that by their nature should survive termination will remain in effect, including ownership provisions, warranty disclaimers, and limitations of liability.
12. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes:
- We will update the "Last updated" date at the top of this page
- We will notify you via email or through the Platform
- Changes take effect 30 days after notification for existing users
- Continued use after changes constitutes acceptance of new Terms
If you do not agree to the modified Terms, you must stop using the Services and terminate your Account.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction in these courts.
Before filing any legal action, both parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails after 30 days, either party may pursue formal legal remedies.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and EduArc regarding the Services and supersede all prior agreements and understandings.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
14.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your Account without our prior written consent. EduArc may assign these Terms without restriction.
